Bundesgerichtshof: Anpassung von Genussscheinbedingungen nach Abschluss eines Beherrschungs- und Gewinnabführungsvertrages

Der für das Gesellschaftsrecht zuständige II. Zivilsenat des Bundesgerichtshofs hatte heute in zwei Fällen über die Frage zu entscheiden, ob und gegebenenfalls wie Genussscheinbedingungen anzupassen sind, wenn das emittierende Unternehmen als abhängige Gesellschaft einen Beherrschungs- und Gewinnabführungsvertrag abschließt.

In dem einen Fall hat die R. Hypothekenbank AG im Jahr 2000 Genussscheine zu einem Gesamtnennbetrag in Höhe von 200 Mio. € in einer Stückelung zu je 1.000 € begeben. Die Klägerin ist Eigentümerin von 22 dieser Genussscheine.

Die Genussscheine hatten eine Laufzeit bis Ende 2012. In den Genussscheinbedingungen heißt es u. a.:

Die Genussscheininhaber erhalten eine dem Gewinnanteil der Aktionäre der R. vorgehende jährliche Ausschüttung aus dem Bilanzgewinn.

Reicht der Bilanzgewinn zur Ausschüttung nicht aus, so vermindert sich diese.

Die Genussscheininhaber nehmen am laufenden Verlust (Jahresfehlbetrag) in voller Höhe teil.

Im Jahr 2002 verschmolz die R. Hypothekenbank AG mit einer anderen Gesellschaft zur Beklagten. Diese schloss mit der C. I. Holding GmbH einen Beherrschungs- und Gewinnabführungsvertrag, der am 4. September 2007 im Handelsregister eingetragen wurde. Im Geschäftsjahr 2009 erzielte die Beklagte einen fiktiven, ohne Berücksichtigung des Verlustausgleichsanspruchs aus dem Beherrschungs- und Gewinnabführungsvertrag errechneten Jahresfehlbetrag in Höhe von 169,7 Mio. €. Deshalb weigerte sie sich, auf die Genussscheine Zahlungen zu leisten. Außerdem hat sie die Rückzahlungsansprüche der Genussscheininhaber entsprechend gekürzt.
In dem zweiten Fall ging es um Genussscheine, die von der Hypothekenbank in E. AG begeben worden sind. Diese Bank verschmolz zum 1. August 2008 mit der Beklagten. Auch dort stellte sich die Frage, ob die Genussscheinbedingungen nach der Verschmelzung angesichts des von der Beklagten abgeschlossenen Beherrschungs- und Gewinnabführungsvertrages angepasst werden müssen.

Mit ihren jeweiligen Klagen haben die Klägerinnen beantragt, die Beklagte für das Geschäftsjahr 2009 zur Zahlung eines nach der von ihnen vertretenen Berechnungsweise ermittelten Betrages zu verurteilen und festzustellen, dass die Beklagte verpflichtet ist, künftig die Genussscheine unabhängig von der Ertragslage der Beklagten zu bedienen und sie bei Fälligkeit zum Nennwert zurückzuzahlen. Das Landgericht hat die Klagen im Wesentlichen abgewiesen. Das Berufungsgericht hat ihnen stattgegeben. Dagegen richten sich die Revisionen der Beklagten.
Der Bundesgerichtshof hat die Revisionen der Beklagten zurückgewiesen. Er hat entschieden, dass die Genussscheinbedingungen, wenn sie keine Regelung für den Fall des Abschlusses eines Beherrschungs- und Gewinnabführungsvertrages enthalten, entsprechend anzupassen sind. Der Bundesgerichtshof hat angenommen, dass die Vertragsanpassung so auszusehen hat, dass auf die Genussscheine - unabhängig von der künftigen Ertragslage der emittierenden Gesellschaft - die vollen ursprünglich vorgesehenen Ausschüttungen erbracht werden müssen und die Rückzahlungsansprüche nicht herabgesetzt werden dürfen, sofern die Prognose hinsichtlich der Ertragsentwicklung der Gesellschaft bei Abschluss des Beherrschungs- und Gewinnabführungsvertrages entsprechend positiv gewesen ist. Davon war nach den rechtsfehlerfreien Feststellungen des Berufungsgerichts auszugehen.

Irische Zentralbank warnt vor Claridon Asset Management (UK)

The Central Bank today (15 May 2013) published the name of an unauthorised investment firm, Claridon Asset Management (UK). Claridon Asset Management (UK) has been offering investment services to members of the Irish public and is not authorised as an investment firm in Ireland.
 
A list of unauthorised firms published to date is available on the Central Bank website.
It is a criminal offence for an investment firm to operate in Ireland unless it has an authorisation from the Central Bank of Ireland. Consumers should be aware that, if they deal with an investment firm which is not authorised, they are not eligible for compensation from the Investor Compensation Scheme.
 
Any person wishing to contact the Central Bank of Ireland with information regarding such firms may telephone (01) 224 4000. This line is also available to the public to check if an investment firm is authorised. Since obtaining the necessary legal powers in August 1998, the names of 213 unauthorised firms have been published by the Central Bank.
 
The name of the above firm is published under the European Communities (Markets in Financial Instruments) Regulations 2007.

Belgische Finanzmarktaufsicht warnt vor CFX Markets

The Financial Services and Markets Authority (FSMA) warns the public against the activities of CFX Markets, a company that offers investment services.
 
CFX Markets is neither an authorized investment firm nor an authorized credit institution in Belgium. It is therefore not allowed to provide investment services in or from Belgium. CFX Markets could have links with CFB International, a company that is also not allowed to undertake regulated financial activities in Belgium.
 
The FSMA therefore advises against responding to any offers of financial services made by CFX Markets or CFB International, and against transferring money to any account number they might mention.
 
CFX Markets claims to be established in the United Kingdom, Canary Wharf, London E14 5NR, 40 Bank Street (HQ3).

Die österreichische Finanzmarktaufsichtsbehörde (FMA) kann gemäß § 92 Abs. 11 1. Satz Wertpapieraufsichtsgesetz 2007 (WAG 2007) durch Kundmachung im Internet, Abdruck im „Amtsblatt zur Wiener Zeitung" oder in einer Zeitung mit Verbreitung im gesamten Bundesgebiet die Öffentlichkeit informieren, dass eine namentlich genannte natürliche oder juristische Person zur Vornahme bestimmter Wertpapierdienstleistungsgeschäfte (§ 3 Abs. 2 Z 1 bis 4 WAG 2007) nicht berechtigt ist, sofern diese Person dazu Anlass gegeben hat und eine Information der Öffentlichkeit erforderlich und im Hinblick auf mögliche Nachteile des Betroffenen verhältnismäßig ist.

BaFin: Haftstrafe von fünf Jahren und drei Monaten wegen Marktmanipulation und Insiderhandels

Im Prozess um Marktmanipulation und Insiderhandel, der auf Strafanzeigen der BaFin zurückgeht, hat das Landgericht München am 29. April 2013 einen 45-jährigen Geschäftsmann zu einer Haftstrafe von fünf Jahren und drei Monaten verurteilt. Für Geschädigte ordnete das Gericht darüber hinaus eine Rückgewinnungshilfe in Höhe von 3,5 Millionen Euro an. Gegen eine zweistellige Anzahl weiterer Beschuldigter ermittelt die Staatsanwaltschaft München I weiterhin.

Der Verurteilte hatte sich zunächst gemeinsam mit weiteren Tätern eines Kapitalerhöhungsschwindels schuldig gemacht. Dazu hatte er dem zuständigen Registergericht gefälschte Bankbescheinigungen vorgelegt und es so dazu veranlasst, eine unrichtige Eintragung über eine Kapitalerhöhung vorzunehmen. Anschließend tätigte der Verurteilte – wohlwissend, dass keine Kapitalerhöhung erfolgt war – Aktiengeschäfte. Durch gegenläufige Kauf- und Verkaufsorders erreichte er, dass Börsenpreise festgestellt wurden, die nicht den tatsächlichen Regeln von Angebot und Nachfrage entsprachen. Darüber hinaus soll der Verurteile mitverantwortlich dafür gewesen sein, mit Hilfe falscher Informationen Investoren für ein Unternehmen einzuwerben. Die dadurch erzeugte Nachfrage nutzte er dazu, seine Anteile über die Depots seiner Frau und einer Investmentfirma zu veräußern.

Das Urteil ist noch nicht rechtskräftig.

Korsair-Aktien werden mit Spam-Faxen gepusht

Mit unverlangten Faxsendungen werden aktuell Aktien einer "KORSAIR HOLDING AG" (richtig wohl: Korsair Holdings AG), WKN: A0Q2C1, massiv beworben. Als Versender agiert ein "Small Cap Scout" bzw. eine Pankl & Hoffmann AG mit einer Adresse in A-1300 Wien-Flughafen. Angeblich soll Korsair von EON "mit Wirkung vom 12.06.2013" übernommen werden. Der Versender verkündet die frohe Botschaft: "Alle Aktionäre erhalten am 08.06.2013 ein Pflichtangebot in Höhe von 41,50 Euro pro Aktie! Und das beim aktuellen Kurs von 0,40 Euro!"

Über solche absurde Phantasiestories freut man sich natürlich - einfach einmal eine Verhundertfachung mitnehmen. Das Ganze wird in durchgeknallter Weise als "Deal des Jahres" und "Bombe!" angekündigt.

Die Korsair-Aktie notierte kürzlich (2012) noch mit EUR 0,079. Im Jahr 2013 wurde sie dann kurzfristig auf über EUR 0,80 gepusht.
